User-Generated Content

When you submit content to us through contact forms, inquiries, or other means, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display that content solely for the purpose of providing our services and communicating with you. You represent that you have all necessary rights to grant this license and that your content does not infringe on any third-party rights.

Disclaimer of Warranties

Our services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that our services will be uninterrupted, secure, or error-free, that defects will be corrected, or that our services or servers are free of viruses or other harmful components. We do not warrant or make any representations regarding the accuracy, reliability, or completeness of content available through our services. Any reliance on such material is at your own risk.

Limitation of Liability

To the maximum extent permitted by applicable law, Data Nexus and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

In no event shall our aggregate liability exceed the amount paid by you to us in the twelve months preceding the claim, or one hundred thousand Japanese Yen (¥100,000), whichever is greater.

Indemnification

You agree to defend, indemnify, and hold harmless Data Nexus and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these terms or your use of our services, including but not limited to your user content, any use of our services other than as expressly authorized in these terms, or your breach of any representation or warranty contained in these terms.

Governing Law and Jurisdiction

These terms shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law provisions. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Tokyo, Japan. However, we retain the right to bring legal proceedings in any jurisdiction where we believe a breach of these terms is taking place or originating.

Changes to These Terms

We reserve the right to modify these terms at any time. When we make material changes, we will notify users by updating the "Effective Date" at the top of this page and, where appropriate, by sending notification through our services or via email. Your continued use of our services after any such changes constitutes your acceptance of the revised terms. If you do not agree with the modified terms, you should discontinue use of our services.
